Paul Zelnick is a transactional attorney focusing on corporate and securities law. He serves as outside counsel for limited liability companies, limited partnerships, franchises and corporations in the construction, environmental, food and beverage, retail, hospitality and automotive sectors. In addition, he prepares private securities offerings and structures capital raising transactions for property developers and entrepreneurs throughout the country. On the real estate side, his practice includes preparing and negotiating mezzanine and construction loan transactions on behalf of both lenders and borrowers.
Paul’s prior securities law experience includes defending financial industry professionals facing securities litigation claims, FINRA arbitration, NFA arbitration and SEC enforcement matters.
Before entering the corporate/securities law arena, Paul worked as a series 3 licensed commodities representative who provided investment advice and traded commodity options and managed futures on behalf of retail investors. Paul’s prior legal experience includes years representing individuals and small businesses in civil litigation matters involving: property/casualty insurance claims, mortgage foreclosure, claims under the Florida Deceptive and Unfair Trade Practices Act and claims under the Fair Debt Collection Practices Act.
