Michael C. Barnes
Michael Barnes is a partner in the Public Finance Practice where he focuses his practice on finance matters of states, municipalities, non-profit entities, industrial development authorities, school districts and developers. Michael regularly serves as bond counsel, underwriter's counsel and borrower's counsel on a variety of public finance transactions. He has particular experience with respect to financings for the benefit of hospitals, health care systems and continuing care retirement communities. Michael has provided counsel to nonprofit borrowers in these sectors on public offerings, private placements and direct bank loans, for both investment-grade rated entities and unrated borrowers, in Pennsylvania and New Jersey.
Michael also has significant experience with respect to economic development bonds, special assessment and special tax bonds, neighborhood improvement district and neighborhood improvement zone bonds and tax increment financings. Michael has served as underwriter’s counsel on the public offering of tax increment financing (TIF)/neighborhood improvement district (NID) bonds and developer’s counsel to privately-held and publicly-traded entities on transactions involving the public offering or private placement of NID Bonds and TIF/NID bonds.
Michael also has extensive experience in the drafting and negotiation of guaranteed investment contracts (GICs) and repurchase agreements (repos) and regularly serves as counsel to an affiliate of a global financial institution that offers GICs and repos to borrowers and issuers of tax-exempt and taxable bonds. Michael also has experience in the implementation and unwinding of swaps and other derivative transactions.
Prior to his legal career, Michael worked as a stagehand and rigger for the International Alliance of Theatrical Stage Employees, Local #8, representing the fourth generation of his family to work as a union stagehand in the theaters, amphitheaters and concert halls of Philadelphia.
