Karilynn Bayus represents and counsels health care entities and providers in regulatory, transactional and administrative matters. Karilynn works regularly with physician groups, physicians, hospitals, universities, ancillary service providers, ambulatory surgical centers and other health care-related businesses.  Her work with these clients also includes assisting them with compliance with federal and state health care data privacy and security laws, including the Health Insurance Portability and Accountability Act of 1996 (HIPAA). The International Association of Privacy Professionals recognizes Karilynn as a Certified Information Privacy Professional (CIPP/US).

Karilynn regularly writes and speaks to health care audiences, including on HIPAA and data privacy matters and other compliance and contracting issues.

Experience

Regulatory Compliance

Karilynn regularly assists clients with compliance matters, including counseling on federal health care fraud and abuse statutes, such as the federal Anti-Kickback Statute and the federal Stark Law, and related state laws and regulations.

Data Privacy and Security

Karilynn counsels clients on HIPAA Privacy, Security and Breach Notification Rules. Karilynn has helped clients assess, manage and respond to HIPAA and other health care data breaches, including evaluating obligations under state data breach laws. Karilynn negotiates and counsels clients on Business Associate Agreements and other data sharing agreements and conducts HIPAA training programs. Select representations include:

Counseling a medical practice that experienced a ransomware attack, including engaging a forensic consultant;
Representing various clients in investigating and responding to health care data breaches; and
Assisting clients with inquiries and investigations by the U.S. Department of Health and Human Services, Office for Civil Rights.
Transactional Matters

Karilynn represents clients in a wide variety of contract matters including:

  • Physician employment agreements;
  • Shareholder agreements;
  • Corporate governance;
  • Asset sales and merger agreements;
  • Innovating health care delivery system arrangements and agreements;
  • Telemedicine and telehealth arrangements; and 
  • Equipment, space and personnel leasing arrangements.

Karilynn uses her health care experience to help clients structure transactions to accomplish business objectives and remain compliant with health care laws and regulations.

Administrative Practice

Karilynn helps clients with licensure issues before the professional boards and associated matters, such as National Practitioner Databank reporting.
